Terms & Conditions
Your responsibilities when using HIE’s design and development tools, and the limits of our service.

Using HIE
These Terms govern your use of HIE at hie.design, provided by souporserious LLC, based in California, United States. By using HIE, you agree to these Terms. If you do not agree, do not use the service. You must have legal capacity to enter this agreement, or use HIE with the involvement and authorization of a parent or guardian where applicable law requires it. If you use HIE for an organization, you must be authorized to act for it.
HIE provides tools; you are responsible for reviewing, testing, backing up, and deciding how to use your work. Please read Your responsibilities for designs and code, Service limitations and warranties, and Limits on our liability. Those sections explain the risks of using the service and the limits on compensation, subject to rights that cannot be waived.
Our Privacy Policy explains data handling. Agreeing to these Terms is not consent to processing that separately requires your consent. Questions about these Terms can be sent to legal@hie.design.
The service and your work
HIE is free to use and provides browser-based design and development tools, including editing, code generation, import/export, and optional collaboration. Features may change, be unavailable on some devices, or require an internet connection. HIE supplies tooling, not a managed development service or a review, certification, or guarantee of your finished product.
The service is not a promise of uninterrupted access, permanent cloud storage, or recovery of local projects. Browser storage can be cleared or evicted, and a lost invitation or local file may not be recoverable.
Your responsibilities for designs and code
You control the content you create, import, share, export, run, or publish with HIE. You are responsible for your decisions about that content and for the websites, applications, and other products you release. In particular, you are responsible for:
- Reviewing and testing: check designs, generated or modified code, dependencies, layouts, and exports before relying on them. Test functionality, security, accessibility, browser compatibility, and fitness for your intended use. A preview or successful export does not certify those qualities.
- Rights and compliance: obtain the permissions and licenses you need, protect personal and confidential information, and check the legal and contractual requirements that apply to your project. HIE does not provide legal or compliance advice.
- Backups and recovery: keep independent copies of important work and verify that your exports can be opened. Do not rely on browser storage, project history, synchronization, or collaboration as your only backup.
- Tools and collaborators: review the permissions you grant and the changes made by collaborators, connected tools, or assistants. Inspect unfamiliar code and imported material before running or publishing it.
- Release and operation: decide when work is ready to deploy, and maintain, monitor, and secure the products you build. You remain responsible for commitments you make to your clients and end users.
Output may contain errors, omissions, vulnerabilities, or third-party material requiring permission. You understand these limitations and must make your own assessment before use. These responsibilities do not excuse our own conduct or remove liability where applicable law holds us responsible.
Ownership and permission to process content
You retain whatever ownership and other rights you have in the designs, code, text, media, and other material you use with HIE. We do not acquire ownership of your work because you use the editor.
You give us only the permission needed to process, transmit, and display content when providing the features you request, maintaining their security, or resolving a support request you make. This permission is limited to those purposes and does not grant us a right to advertise with or sell your project content. It ends when it is no longer needed, except for lawful retention described in the Privacy Policy.
You must have the rights and permissions needed to import, edit, share, and export content. HIE does not grant rights in third-party fonts, images, websites, trademarks, code, or other material. The application, branding, and bundled materials have their own ownership and license terms. Open-source components remain governed by their applicable licenses; these Terms do not remove rights those licenses give you.
Acceptable use
Use HIE lawfully and respect other people's rights. Do not:
- Upload, import, share, or create content in a way that infringes intellectual-property, privacy, or other legal rights.
- Use invitations, private links, credentials, or connected tools without authorization.
- Introduce malware, attack the service, disrupt other users, or bypass reasonable security, rate, or access controls.
- Use HIE to facilitate fraud, unlawful harassment, exploitation, or other illegal activity.
Good-faith security research should avoid accessing other people's data or disrupting the service. Report issues privately to legal@hie.design.
Imports and third-party services
Importing a public webpage does not make its content free to reuse. You are responsible for checking the applicable permissions and terms. Imported snapshots and generated output may be incomplete or inaccurate.
Third-party websites, browsers, hosting providers, connected assistants, and other services are operated independently. Their own terms and policies may apply. We do not guarantee their availability or the accuracy, safety, or legality of material they provide.
Changes, suspension, and ending use
We may update HIE and change or discontinue features. We may restrict access when reasonably necessary to address abuse, security risks, legal requirements, or a material breach of these Terms. Where practical and lawful, we will explain a material restriction and provide an opportunity to address it. Contact us if you believe a restriction is mistaken.
You can stop using HIE at any time. Export work you need before clearing local storage. Ending use does not erase copies already shared with others or records that must lawfully be retained. Clauses that by their nature need to continue, including ownership, applicable limitations, and dispute provisions, continue to apply.
Service limitations and warranties
To the fullest extent permitted by applicable law, HIE and its output are provided “as is” and “as available.” We disclaim express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, and non-infringement, except for any express commitments in a separate written agreement with you and protections that cannot lawfully be excluded.
We do not warrant that the service or its output will be uninterrupted, error-free, secure, complete, accurate, compatible with every system, or suitable for a particular project. We do not guarantee that defects will be corrected, that stored work will be preserved or recoverable, or that generated designs or code will meet your legal, security, accessibility, or business requirements.
Nothing in these Terms excludes any warranty, consumer guarantee, or other protection that the law does not allow us to exclude.
Limits on our liability
The following limits apply only to the extent permitted by applicable law and are subject to the exceptions below. They cover claims arising out of or relating to HIE or these Terms, whether based on contract, tort (including ordinary negligence), or another legal theory, even if we have been advised that the loss could occur.
Excluded losses. souporserious LLC and its officers, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, or goodwill. We also exclude loss or corruption of data, business interruption, and the cost of substitute services to the extent those losses are indirect or consequential. These exclusions can apply to losses connected with service outages, errors in generated or imported material, collaboration, connected tools, or your use, publication, or deployment of output.
Liability cap. To the fullest extent permitted by applicable law, and subject to the exceptions below, souporserious LLC and its officers, employees, and agents have no monetary liability to you for claims arising out of or relating to your use of HIE. The liability cap for those claims is US $0.
Rights and liability we do not limit. None of the exclusions or caps in these Terms applies to fraud, intentional misconduct, willful injury, gross negligence, violations of law for which liability cannot be limited, death or personal injury where a limitation is prohibited, or any other liability that cannot lawfully be excluded or limited. They do not take away mandatory consumer rights or statutory remedies. Where a particular limitation is not allowed, it does not apply to you.
Governing law and resolving concerns
California law governs these Terms, except where mandatory law gives you protections that cannot be displaced by that choice. Applicable federal law also applies. Nothing here prevents you from bringing a claim in a court or before an authority that has jurisdiction under mandatory law.
Please contact legal@hie.design if a concern arises so we can try to resolve it. Contacting us first is not a condition that limits statutory rights or legal filing deadlines. These Terms do not require arbitration or waive participation in a class action.
Updates and remaining terms
We may revise these Terms and will show the revision date above. We will provide additional notice or obtain agreement when required for a material change. New terms apply prospectively and do not remove rights that have already accrued.
If one provision is unenforceable, the remaining provisions continue to the extent permitted by law. A failure to enforce a provision on one occasion is not a waiver of it. Any separate written agreement with us controls where it expressly addresses the same subject differently.
